It's basically Venom, except instead of Spider-Man's powers, it gives Iron Man's “powers”. Also it doesn't control you.

These two superheroes are quite alike: they are rich and they use technologies to fight (instead of unexplainable power like Superman or Thor). The only differentiation is their character: Stark is an easy-going person and somewhat sloppy, while Wayne is introvert and melancholic.

From technology standpoint, I think Iron Man would easily defeat Batman since Iron Mas has more flexibilities: his armor suit allows him to move easier than Batman's complicated costume, he could fly easily while Batman needs his aircraft to do so, shooting laser as easy as moving up his hand, etc. But the strengths that Batman has is he is a strategic thinker, full of articulation, precise, and not dependent on his weapons; all of these are very strong “weapons” to defeat the somewhat-sloppy and technology-dependent Iron Man.

So, just my 2 cents, I vote for Batman
